Contest Official Rules

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. OPEN TO LEGAL RESIDENTS OF THE CONTINENTAL UNITED STATES WHO ARE 18 YEARS OF AGE OR OLDER. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY ENTRANT WILL RESULT IN SUCH ENTRANT’S DISQUALIFICATION AS A POTENTIAL WINNER OF THIS CONTEST. ALL ENTRY MATERIALS WILL BE THE SOLE AND EXCLUSIVE PROPERTY OF MADHOUSE MUNCHIES, INC.

INTRODUCTION. This Bode Gone Mad Contest (the “Contest”) gives participants the opportunity to win the Video Prize Package for video entries and the Script Prize Package for written script entries. The details of the prizes and how to enter the Contest are contained in these Official Rules.

SPONSER. Madhouse Munchies, Inc., a Delaware corporation (“Madhouse”), is the sole sponsor of the contest. Madhouse’s principal business address is:

ELIGIBILITY. The Contest is open to residents of United States who are 18 years of age or older at time of entry. Officers, Directors and Employees of Madhouse are not eligible, nor are members of their respective families (defined as parents, children, siblings, spouse, and life partners), to participate in this Contest. By participating in this Contest, entrants agree to be bound by these Official Rules and by the decisions of Madhouse, which shall be final, conclusive and binding in all matters relating to this Contest.

ADDITIONAL RELEASES AND AFFIDAVITS. All winners of the Contest may be required to sign (a) an affidavit of eligibility and liability release to release Madhouse, from any and all liability, claims, demands and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use or acceptance of any of promotional opportunities and/or prizes received, (b) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation, (c) any relevant tax documentation and (d) any additional legal documentation to confirm Madhouse’s ownership and rights in and to any copyright, concept, design or intellectual property submitted to Madhouse in connection with the Contest. Entry into this Contest constitutes each entrant’s (including each potential winner’s agreement to sign such affidavit and release form(s).

HOW TO ENTER. To enter the Contest eligible participants must send entries during the Submission Period (as defined below). To register for the Contest, send your video or script (as detailed below to HYPERLINK “mailto:contest@bodegonemad.com” contest@bodegonemad.com along with your name, address, phone number and date of birth. Please note that only submissions adhering to the Required Deliverables outlined below will be accepted for entry. Submissions that are late, stolen, misdirected or non-deliverable due to any reason will not be accepted.
By doing the above, eligible entrants will be entered into the Contest and will each qualify as a participant (”Participant”, “you” or “your”).

The Required Deliverables:
FOR THE VIDEO PRIZE PACKAGE
Video submission: 2 minutes or less
Windows media (WMV) or Quicktime (MOV) video files no larger than 10 MB in size.

OR –

FOR THE SCRIPT PRIZE PACKAGE:
A copy of the script and/or storyboard as a Microsoft Word Document (.doc or .rtf), text document (.txt) or Adobe Acrobat file (PDF).

One submission per participant, multiple entries by the same individual may rejected or subject such individual to disqualification.

CONTEST TIMING AND DEADLINES. Contest entries will be accepted from
8:00 A.M. Eastern Standard Time on December 8, 2008 until 5:00P.M. Eastern Standard Time, on February 15, 2009 (the “Submission Period”). No further entries will be accepted after the expiration of the Submission Period.

HOW THE PRIZES WILL BE AWARDED. On or about February 28, 2009, Madhouse, will choose one winner of the video contest along with one winner of the written script contest.

All submissions will be evaluated by Mt. Mansfield Media/Madhouse Munchies on the following criteria:
1. Creativity and originality of concept
2. How well the creative content establishes a fun and marketable connection between Bode Miller and Madhouse Munchies.

The winners will be contacted on or before March 4, 2009.

PRIZES. There will only be one winner in each of the two categories – video and script. Chances of winning depend on the number of entries received by Madhouse. The winning video submission as well as the winning written script submission will be evaluated by Madhouse and subject to commercial feasibility, determined at the sole discretion of Madhouse, may be produced and broadcast by Madhouse. In the event of any such commercialization, the winning Participant will not be entitled to any royalty or other compensation.

The winning Participant of the Video Prize Package will receive the following having an approximate retail value of $7,500:
1. Transportation to Stowe, Vermont for 2 people (Economy ticket from anywhere in the Continental US).
2. Ski in-out accommodations for 3 nights at The Stowe Mountain Resort in Stowe, Vermont.
3. A Madhouse Munchies delivery van full of a variety of Madhouse Munchies potato chips. (Used 2002 Chevrolet Express G1500 Deliver Van with approximately 105,000 miles).

The winning Participant of the Script Prize Package will receive the following having an approximate retail value of $3,500:
1. Your script will be professionally produced and aired to a world wide audience via the internet having an approximate retail value of $2,500.
2. A pair of new alpine skis autographed by Bode Miller having an approximate retail value of $1,000.

The runner up in each category will receive 4 variety cases of Madhouse Munchies chips.

No cash will be awarded. Any prize returned as undeliverable or otherwise not claimed within fifteen (15) days after delivery of notification will be forfeited and awarded to an alternate winner. Prizes are not transferable. No substitutions or exchanges (including for cash) of any prizes will be permitted, except that Madhouse reserves the right to substitute a prize of equal or greater value for any prize. All prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

MADHOUSE OWNERSHIP OF ENTRIES. All entries and materials, including concepts, designs, videos or other materials submitted to Madhouse in connection with the Contest (collectively, “Entry Materials”), along with all copyright, trademark and other proprietary rights associated therewith, become the sole and exclusive property of Madhouse upon submission, and Entry Materials will not be returned to any Participant. Without limiting the generality of the foregoing, you acknowledge that Madhouse will own all rights to use, modify, reproduce, publish, perform, display, distribute, make derivative works of and otherwise commercially and non-commercially exploit the Entry Materials in perpetuity and throughout the universe, in any manner or medium now existing or hereafter developed, without separate compensation to you or any other person or entity. You agree to take, at Madhouse’s expense, any further action (including, without limitation, execution of affidavits and other documents) reasonably requested by Madhouse to effect, perfect or confirm Madhouse’s ownership rights as set forth above in this paragraph.

ORIGINAL WORK OF AUTHORSHIP. You hereby warrant and represent that (a) you own all rights to all Entry Materials submitted by you; and (b) all such Entry Materials are original works of authorship on your part and have not been copied, in whole or in part, from any other work and do not violate, misappropriate or infringe any copyright, trademark or other proprietary right of any other person or entity.

COLLECTION OF INFORMATION. The Entry Materials include an entry form that requires you to enter your name, e-mail address, and state of residence. This information will only be used to contact you in the event that you are chosen to receive the winning prize. Madhouse will not sell, rent or otherwise transfer this information to any third party, nor will Madhouse use this information for marketing purposes without your consent.

GENERAL RELEASE. By entering the Contest, you release Madhouse and its affiliates, directors, officers, employees and agents (collectively, the “Released Parties”) from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest or delivery, misdelivery, acceptance, possession, use of or inability to use the Entry Materials or any prize conveyed in connection herewith (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

WINNERS LIST; RULES REQUEST. The winner will be posted on Madhouse’s web site at HYPERLINK “http://www.madhousemunchies.com” www.madhousemunchies.com and HYPERLINK “http://www.bodegonemad.com” www.bodegonemad.com and announced on February 13, 2009. For a copy of the winners list or a copy of these rules, you can also send a stamped, self-addressed, business-size envelope any time during the Submission Period, and up to two years thereafter to Madhouse at Madhouse’s principal business address listed above. Vermont residents may omit return postage if requesting a set of these Official Rules.

TAXES. Winner will be solely responsible for any and all local, state, and federal taxes, as well as license and registration fees incurred by participating in the Contest. Madhouse will report any individual winnings over $600 (in cash or fair market value of goods or services) in a one (1) year period to the Internal Revenue Service. The Winner will receive a Form 1099 from Madhouse if Madhouse reports any winnings to the Internal Revenue Service.

MISCELLANEOUS. The Contest is governed by the laws of the State of Vermont and Participants in the Contest hereby consent to the exclusive jurisdiction of those laws for any causes or controversies arising out of the Contest. Each Participant waives any and all objections to jurisdiction and venue in these courts. All federal, state and local laws and regulations apply. Void where prohibited or restricted by law. Madhouse reserves the right to change these Official Rules at any time, in its sole discretion, and to suspend or cancel the Contest or any entrant’s participation in the Contest should viruses, bugs, unauthorized human intervention or other causes beyond Madhouse’s control affect the administration, security or proper play of the Contest or Madhouse otherwise becomes (as determined in its sole discretion) incapable of running the Contest as planned. Entrants who violate these Official Rules, tamper with the operation of the Contest or engage in any conduct that is detrimental or unfair to Madhouse, the Contest or any other entrant (in each case as determined in Madhouse’s sole discretion) are subject to disqualification from entry into the Contest.
